1. Acceptance of Terms

By accessing or using Tool Manager Pro ("Service"), including our website at toolmanagerpro.com and application at app.toolmanagerpro.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Tool Manager Pro provides a web-based platform for mobile tool-truck fleet management, including but not limited to customer management, route operations, inventory tracking, point-of-sale invoicing, payment processing, and reporting tools.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Resell or sublicense the Service without prior written consent

5. Your Data

You retain ownership of all data you input into the Service, including customer records, inventory data, invoices, and transaction history. You grant us a limited license to host, process, and display your data solely to provide the Service. Our use of your data is further described in our Privacy Policy.

6. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Fees are billed in advance on a recurring basis unless otherwise stated. We reserve the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of your account.

7. Third-Party Integrations

The Service may integrate with third-party services such as Square for payment processing and GPS tracking providers. Your use of these integrations is subject to the respective third-party terms and policies. We are not responsible for third-party service availability or performance.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. For self-hosted deployments, you are responsible for your own infrastructure uptime.

9. Intellectual Property

Tool Manager Pro, including its software, design, logos, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as necessary to use the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases. You may export your data prior to termination where applicable.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.
